1. Who is responsible and what this Policy covers
This Privacy Policy explains how Transcritical Technologies, LLC, a North Carolina limited liability company, handles personal information through chillbid.com, the Chill Bid hosted application, and any other domain, subdomain, or hosted environment owned, operated, or hosted by Transcritical Technologies, LLC through which Chill Bid is made available, including account registration, purchases, demonstrations, and related support and communications (Service). Personal information means information that identifies, relates to, or can reasonably be linked to an individual, as further defined by applicable law.
By logging in to or using Chill Bid at chillbid.com or through any other domain, subdomain, or hosted environment owned, operated, or hosted by Transcritical Technologies, LLC through which Chill Bid is made available, you agree to the Terms of Service, End User License Agreement (EULA), and Privacy Policy, provided that you have first been given conspicuous notice of those documents, access to their text, and a clear statement that your login or use signifies agreement. If you do not agree, do not log in to or use Chill Bid.
Agreement to the Privacy Policy means acknowledgment of its notice and agreement to the lawful handling of information described there. It is not blanket consent to unrelated marketing, optional tracking, or processing that requires separate consent, and it does not waive nonwaivable privacy rights. Any legally required additional consent will be requested separately. This Policy applies to personal-information handling whether or not a visitor purchases or accepts a contract. The Terms of Service and EULA govern purchases, software access, and Customer Data ownership. This Policy does not reduce their confidentiality protections or override a controlling data-processing agreement. Domain coverage is limited to Chill Bid and its related Service, not unrelated third-party websites merely hosted by Transcritical Technologies, LLC.
2. Business accounts and responsibility for Customer Data
Transcritical Technologies, LLC determines how account, billing, security, and direct communication information is used to operate its business. For personal information that a business customer submits in drawings, estimates, proposals, or other project records (Customer Data), Transcritical Technologies, LLC generally processes that information on the customer's behalf and instructions, subject to the customer agreement and applicable law.
An organization's administrator may invite or remove users, assign permissions, and access, export, or delete information within the organization's account according to assigned permissions. Contact that organization about its own use of your information. For requests concerning Customer Data, Transcritical Technologies, LLC may refer you to the responsible customer and will assist that customer as required. Account administration does not excuse Transcritical Technologies, LLC from its own privacy obligations.
3. Information collected and its sources
Account and contact information. Information supplied by you or your organization may include your name, business name, job title, email, telephone number, billing address, user identifier, account role, sign-in information, and preferences.
Orders and acceptance records. Purchases, account activation, and login acceptance generate plan, seat, invoice, payment-status, renewal, cancellation, and transaction records as applicable. Records may include the agreement and privacy-notice versions presented, the notice or checkbox wording, acceptance method and time, the access domain, and associated account, order, IP address, and browser details.
Customer Data. Information you or authorized users enter, upload, import, or generate may include project names and locations, drawings, contact details, vendor quotes, pricing, labor rates, formulas, takeoffs, bids, proposals, attachments, and related communications. Collecting or hosting that information does not transfer its ownership.
Support and communications. Information includes requests, feedback, correspondence, troubleshooting details, and files you choose to send. Please remove unrelated personal or confidential information before submitting diagnostic material.
Technical and usage information. When you access the Service, technical records may include IP address, browser and device characteristics, timestamps, pages or features used, session identifiers, errors, security events, referral information, and approximate location derived from an IP address.
Sources include you, your organization and its authorized users, your browser or device, payment and other service providers, and integrations you authorize. Do not upload Social Security numbers, payment-card security codes, protected health information, or other highly sensitive information unnecessary for estimating. The restrictions in the Terms of Service also apply.
4. How information is used
Information is used to create and administer accounts; authenticate users and manage seats; provide estimating, document-generation, storage, and export functions; process authorized transactions; respond to support requests; send service, billing, renewal, security, and legal notices; troubleshoot errors; prevent fraud and misuse; enforce agreements; and meet legal and accounting obligations.
Non-content usage and operational information may be used to understand performance and improve reliability and usability. This does not authorize repurposing confidential project content, pricing, or drawings for unrelated product development. Any public aggregate statistics must not identify customers or individuals or disclose confidential information. De-identified information is maintained without attempting to re-identify it, except where legally permitted to test de-identification safeguards.
Promotional communications and optional analytics are subject to the choices and limits below. Information is not used for unrelated purposes merely because it is available in an account.
5. Payments and billing information
Payment credentials needed to complete a transaction are collected through the payment-processing service identified at checkout. Transcritical Technologies, LLC receives information needed for billing and account administration, such as billing contact details, transaction identifiers, payment status, subscription history, and limited payment-method details supplied by the processor.
A processor may also handle information for its own fraud-prevention, security, legal, or financial obligations under its privacy notice. Review the notice presented by that processor. Do not send full card numbers, card security codes, or bank-login credentials by email or upload them to project or support files.
6. When information is disclosed
Service providers. Information may be disclosed as needed to providers of hosting, storage, authentication, payment processing, email delivery, customer support, security, backups, and operational analytics. Providers processing information on behalf of Transcritical Technologies, LLC must be subject to appropriate confidentiality and data-protection obligations and receive only the access reasonably needed for their services.
Your organization and chosen recipients. Information may be available to authorized account users or sent to recipients and integrations you or your organization select. Review permissions before sharing. A downloaded proposal or a copy you send outside Chill Bid is then also subject to the recipient's handling practices.
Professional advice, law, and protection. Information may be disclosed to professional advisers under appropriate duties, to comply with lawful process, or as reasonably necessary to investigate fraud or security incidents, protect legal rights, or meet legal obligations. Legally compelled disclosure of confidential Customer Data follows the notice protections in the customer agreement where permitted.
Business transactions. Relevant information may be disclosed under appropriate protections during a proposed or completed merger, financing, reorganization, or sale of the relevant business. A successor must respect applicable privacy and confidentiality commitments; the transaction does not authorize unrestricted new uses.
7. No sale of information or behavioral-advertising sharing
Transcritical Technologies, LLC does not sell or rent personal information or Customer Data, share personal information for cross-context behavioral advertising, or use personal information for targeted advertising based on activity across unaffiliated services. Personal information is not provided to third parties for their independent direct marketing.
Necessary service-provider disclosures and customer-directed sharing described above remain permitted within applicable legal and contractual limits. This Policy does not authorize publishing identifiable bids, exposing confidential customer pricing, or using one customer's confidential information to benefit another customer.
8. Artificial intelligence and document-processing features
Where a selected feature uses an external artificial-intelligence or document-processing provider, the relevant input and output may be processed only as needed to deliver, secure, and support that feature under appropriate protections. The provider's role and material additional processing terms must be disclosed before the relevant information is sent.
Ordinary account use, purchase acceptance, and acknowledgment of this Policy do not authorize training generalized artificial-intelligence models on Customer Data. Any additional use must have a separate lawful basis and, for confidential Customer Data, the customer's express written permission, together with any required individual consent. A provider's settings and contractual terms must support these restrictions.
9. Cookies, local storage, and privacy signals
The Service may use cookies, browser local storage, and similar technologies to maintain sign-in sessions, secure transactions, remember preferences, and operate requested features. Browser controls can remove or restrict stored information, although blocking essential storage may prevent login, checkout, or other requested functions.
Optional analytics may be used to measure website or feature performance only within the purposes described in this Policy. Where consent is required, nonessential technologies will not operate before consent. Any available cookie controls identify the enabled optional categories and allow choices to be changed.
Legacy browser Do Not Track signals do not otherwise change the essential processing described here. Legally recognized opt-out preference signals, including Global Privacy Control where applicable, will be honored as required. The no-sale and no-targeted-advertising practices in Section 7 apply whether or not such a signal is sent.
Independent payment, security, embedded-content, or external services may recognize a browser across services when you interact with them. Their own notices explain their independent processing. This does not authorize unrestricted tracking or reuse of Customer Data by providers acting on behalf of Transcritical Technologies, LLC. Any materially different tracking practice requires updated disclosures and applicable choices before deployment.
10. Marketing and communication choices
You may unsubscribe from promotional emails using an unsubscribe mechanism in the message or by emailing justin@transcritical.net. Transcritical Technologies, LLC will honor marketing preferences and obtain separate consent where required. Agreement to the Terms of Service or this Policy is not agreement to receive optional promotional messages.
Billing confirmations, renewal or cancellation notices, security alerts, and other necessary account communications are distinct from marketing. These may continue while needed to administer an account or fulfill legal obligations. A minimal suppression record may be retained to respect your opt-out.
11. Retention, exports, and deletion
Active accounts. Customer Data is retained as needed to provide the purchased Service and follow authorized instructions. Account and contact information is retained while needed for the relationship and the limited purposes below. Customers should maintain their own copies of important proposals and records.
Paid accounts after termination. Consistent with Section 12 of the Terms of Service, Customer Data is retained for 30 days after termination so an authorized administrator may request an export of then-retained data at justin@transcritical.net. Normal application access may end at termination. A standard export in an available format is provided without an additional export fee. Earlier deletion may occur at a verified customer request or when legally required; previously deleted or unavailable records need not be recreated.
Trials and demonstrations. Evaluation data may be deleted when the evaluation ends. The paid-account export window does not apply unless separately agreed. A controlling signed agreement may provide different retention or export terms.
Other records and backups. After the applicable window, Customer Data may be deleted or de-identified from active systems. Limited billing, tax, acceptance, support, security, dispute, and privacy-request records may remain for the period reasonably needed for their particular purpose or legal requirement. Retention considers statutory requirements, unresolved disputes, security needs, and the ability to honor consent choices; records are not retained indefinitely merely for convenience. Backup copies may persist until the ordinary backup-rotation cycle removes them. Retained copies remain protected and are not restored for unrelated commercial use. Deletion does not remove copies previously supplied to independent recipients.
12. Security and incident response
Transcritical Technologies, LLC uses commercially reasonable administrative, technical, and organizational safeguards appropriate to the Service and the information handled. Access is limited to authorized persons with a legitimate need. No internet service or transmission method is completely secure, and this Policy does not guarantee that an incident can never occur.
Customers must protect credentials and devices, assign appropriate permissions, and promptly report suspected unauthorized access to justin@transcritical.net. Transcritical Technologies, LLC will investigate relevant incidents and provide notices to affected customers, individuals, and authorities when required by applicable law or a controlling agreement. This paragraph does not limit nonwaivable security duties.
13. Access, correction, deletion, and other privacy requests
You may contact justin@transcritical.net to ask about personal information, request access or correction, request deletion, or raise a privacy concern. Include your name, relevant account or organization, a contact email, and the nature of the request. Do not include passwords or unnecessary identity documents. Account settings may also permit updates where available.
Depending on your location and applicable law, you may have rights to know the information collected and disclosed, obtain a copy in a portable format, correct inaccuracies, request deletion, restrict or object to processing, withdraw consent, limit certain uses of sensitive information, or opt out of sale, behavioral-advertising sharing, targeted advertising, or certain profiling. These rights are subject to applicable scope, exemptions, and legal conditions; not every right applies to every person or business. This Policy does not waive rights available to California residents or residents of other jurisdictions.
For access, correction, or deletion requests, identity and authority may be reasonably verified before information is released or changed. An authorized agent may act for you subject to legally permitted verification. An account is not required merely to submit a privacy request. Opt-out requests are not subject to identity verification where law prohibits it, although limited information may be needed to apply the request.
Requests are handled within applicable legal deadlines, with required notices of any permitted extension. Where a request cannot be fulfilled, the response will explain the reason as required. Where an appeal right applies, reply to the decision or email justin@transcritical.net with "Privacy Appeal" in the subject; statutory appeal procedures and deadlines apply. You may also complain to the appropriate regulator. Transcritical Technologies, LLC will not unlawfully discriminate or retaliate for exercising privacy rights. Requests involving a customer's project records are coordinated as described in Section 2.
14. Children and sensitive information
Chill Bid is intended for business and professional users who are at least 18. It is not directed to children, and Transcritical Technologies, LLC does not knowingly collect personal information from children under 13 through the Service. Contact justin@transcritical.net if you believe a child has supplied information so appropriate removal or other legally required action can be taken. Customers must not use the Service to collect children's information or unnecessary sensitive personal information.
15. International access and processing
Transcritical Technologies, LLC operates from the United States. Information may be processed in the United States and in locations where authorized service providers operate; their locations may have different privacy laws. This Policy does not promise storage exclusively in any one country.
Where applicable law requires a lawful basis, relevant grounds may include performing a contract with you, legitimate interests in operating and securing the Service subject to your rights, legal obligations, and consent for uses requiring it. Customer-directed processing follows the customer's lawful instructions. Any required transfer safeguards or data-processing terms must be in place before the relevant processing. Merely visiting the website or acknowledging this Policy is not a substitute for a legally required transfer mechanism or consent.
16. Changes to this Policy
The effective and last-updated dates identify this version. Material changes will be communicated through a prominent website or account notice or an email before taking effect, with additional notice or consent where required. Materially different uses of previously collected information will not be authorized solely by silently changing this Policy.
Changes do not retroactively remove contractual confidentiality protections, change an accepted Order, or waive existing legal rights. Amendments to the Terms of Service or EULA remain subject to their separate notice and affirmative-acceptance process. The login-and-use language in Section 1 does not replace required notices, separate processing consent, or that amendment process. Copies of prior published versions may be requested at justin@transcritical.net.
